Terms of Service

Welcome to ReviewGuard! These Terms of Service ("Terms") govern your access to and use of the ReviewGuard platform ("Company," "we," "our," or "us"). By accessing or using ReviewGuard, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

  • "Platform" refers to the ReviewGuard website, application, and services.
  • "User" refers to any business or individual accessing ReviewGuard.
  • "Organization" refers to an entity created by a User for managing business locations.
  • "Location" refers to an individual business branch managed on the Platform.
  • "Customer" refers to an end-user interacting with a ReviewGuard QR code.
  • "Payment Processor" refers to our third-party payment processor.
  • "Redirect Threshold" refers to the review score limit set by a business for redirecting customers to third-party review sites.

2. Eligibility & Account Registration

  • You must be at least 18 years old to use ReviewGuard.
  • You must provide accurate, complete, and current registration information.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Businesses registering on the Platform must be legally authorized entities in their respective jurisdictions.

3. Services & Usage

ReviewGuard provides a platform for managing customer reviews and directing feedback based on predefined settings.

  • Business Registration: Users create an account and add their business locations.
  • QR Code Generation: Businesses generate and customize QR codes for customers.
  • Feedback Management:
    • Customers rate their experience after scanning a ReviewGuard QR code.
    • If the rating is below the Redirect Threshold, they are presented with a private feedback form where they can share their concerns directly with the business.
    • If the rating is above the Redirect Threshold, they are seamlessly redirected to a third-party review site (e.g., Google Maps) to leave a public review.
    • Businesses receive notifications of private feedback, allowing them to address concerns before they escalate into negative public reviews.
  • Analytics Dashboard: Businesses can track review performance and customer feedback.

4. Subscription, Billing & Payments

  • Each business location is billed at 300 AED per month.
  • The first location is charged upfront, and additional locations are prorated and added to the next billing cycle.
  • Billing is organization-based, not user-based.
  • Payments are processed through our Payment Processor, and ReviewGuard does not store payment details.
  • Refund Policy:
    • No refunds are issued unless required by law.
    • Cancellations take effect at the end of the billing cycle.

5. User Responsibilities & Restrictions

  • Fair Use Policy: Users should use ReviewGuard to enhance customer interactions and service quality, ensuring genuine feedback collection.
  • Legal Compliance: Users must adhere to applicable laws regarding customer communication and review solicitation.
  • Prohibited Activities: Users must not:
    • Use fraudulent reviews or misrepresent customer feedback.
    • Employ deceptive practices that mislead customers.
    • Violate data privacy laws or misappropriate customer information.

6. Account Termination & Suspension

  • Termination for Convenience: ReviewGuard reserves the right to terminate this agreement at its sole discretion, without cause, by providing 30 days written notice to the User. Such notice will be sent to the User's registered email address as maintained in the system. This termination shall be effected in good faith and in compliance with applicable laws.
  • Termination for Cause: ReviewGuard may suspend or terminate accounts immediately if there is a violation of these Terms, misuse of the platform, or legal compliance concerns. We will provide notice where reasonable and allow users to address any issues before taking action, unless immediate termination is necessary.
  • Users may cancel their subscription at any time, with services continuing until the end of the paid period.

7. Liability & Disclaimers

  • No Guarantees: We do not guarantee an increase in positive reviews or business performance. ReviewGuard is a tool that helps businesses manage feedback and direct customers to review platforms, but we cannot prevent negative reviews from being posted independently by customers on external sites.
  • Limited Liability: ReviewGuard is not liable for:
    • Negative reviews left by customers directly on third-party platforms like Google Maps, outside of our system.
    • Platform downtime, technical issues, or service disruptions.
    • Any indirect, incidental, or consequential damages arising from the use of our platform.
    • Failure to alter or remove negative reviews that are posted outside of our platform’s control.

8. Privacy & Data Handling

  • ReviewGuard handles user data as outlined in our Privacy Policy.
  • We do not sell or share customer data with third parties except where required by law. However, we may engage third-party sub-processors, such as payment processors and analytics providers, to facilitate our services. These sub-processors are contractually obligated to handle data securely and in compliance with applicable privacy laws.

9. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Dubai, UAE.
  • Disputes shall be resolved through arbitration in Dubai International Arbitration Centre (DIAC).

10. Changes to Terms

  • We may update these Terms at any time, with notice provided through the Platform.
  • Continued use constitutes acceptance of the updated Terms.
